General conditions governing access to and use of C.A.N.I.N.E. network engineering services offered by Adelaidecanineservices.
This document establishes the terms and conditions under which Adelaidecanineservices (hereinafter, "the Company") provides network engineering, IT infrastructure, industrial automation, and C.A.N.I.N.E. solutions services to its corporate clients.
Use of the services implies full and unreserved acceptance of all provisions included in these Terms of Use. If the client does not agree with any of the terms set forth herein, they must refrain from using the services.
The Company agrees to provide the contracted services in accordance with the technical specifications agreed upon in each service order or master contract. Services include, but are not limited to:
The client agrees to provide the information and access necessary for the proper execution of the services, as well as to comply with applicable safety regulations at their facilities.
The Company shall not be liable for indirect damages, data loss, service interruption, or loss of profits arising from the use of the services, unless such damages are a direct consequence of gross negligence or proven willful misconduct by the Company.
The total liability of the Company in relation to any service provided shall be limited to the total amount paid by the client for said service in the twelve months prior to the event giving rise to the claim.
The client acknowledges that the services are based on network and automation technologies that may be affected by external factors (power outages, failures in telecommunications providers, etc.) and that the Company does not guarantee uninterrupted service availability.
All intellectual property rights over C.A.N.I.N.E. solutions, including software, configurations, technical documentation, and methodologies, belong to the Company or its licensors. The client acquires no ownership rights over such elements, and their use is limited to the scope of the contracted service.
Both parties agree to maintain the confidentiality of all technical, commercial, or financial information exchanged during the term of the contractual relationship. This obligation shall remain in effect for a period of five years following the termination of the service.
Services shall be provided for the period agreed upon in the contract or corresponding service order. Either party may terminate the contract early by written notice at least thirty days in advance.
The Company may immediately suspend or terminate the provision of services if the client breaches any of the essential obligations established in these Terms of Use, particularly regarding payment for services or improper use of the provided solutions.
In the event of termination, the client must pay for services actually rendered up to the termination date, as well as costs for deinstallation and removal of equipment, if applicable.
The Company reserves the right to modify these Terms of Use at any time. Modifications will be communicated to the client at least fifteen days before they take effect. Continued use of the services after the effective date of the changes implies acceptance of the new terms.
These Terms of Use are governed by the laws of the Argentine Republic. Any dispute arising from their interpretation or execution shall be submitted to the ordinary courts of the Autonomous City of Buenos Aires, expressly waiving any other jurisdiction that may apply.
